Order

IN THE MATTER OF THE SECURITIES ACT,

IN THE MATTER OF
WEIZHEN TANG

ORDER
(Subsection 127(1) of the Securities Act)

WHEREAS:

  1. On September 30, 2013, the Ontario Securities Commission (the “Commission”) issued a Notice of Hearing in respect of a Statement of Allegations filed by Staff of the Commission (“Staff”) on the same day  (the “Statement of Allegations”), in which Staff sought an order against Weizhen Tang (“Tang”) pursuant to subsection 127(1) of the Securities Act, R.S.O. 1990, c. S.5, as amended (the “Act”);
  2. Tang was convicted in the Superior Court of Justice of Ontario of an offence arising from a transaction, business or course of conduct related to securities, within the meaning of paragraph 1 of subsection 127(10) of the Act;
  3. The hearing with respect to the Statement of Allegations was held on February 17 and 18, 2016 and the Reasons and Decision of the Commission relating to the Statement of Allegations are dated April 20, 2016;
  4. The Commission is of the view that it is in the public interest to make the following order;

IT IS HEREBY ORDERED THAT:

  1. Pursuant to paragraph 2 of subsection 127(1) of the Act, trading in any securities or derivatives by Tang shall cease permanently;
  2. Pursuant to paragraph 2.1 of subsection 127(1) of the Act, acquisition of any securities by Tang is prohibited permanently;
  3. Pursuant to paragraph 3 of subsection 127(1) of the Act, any exemptions contained in Ontario securities law shall not apply to Tang permanently;
  4. Pursuant to paragraphs 7, 8.1 and 8.3 of subsection 127(1) of the Act, Tang shall resign any positions that he holds as director or officer of any issuer, registrant or investment fund manager;
  5. Pursuant to paragraphs 8, 8.2 and 8.4 of subsection 127(1) of the Act, Tang is prohibited permanently from becoming or acting as a director or officer of any issuer, registrant or investment fund manager; and
  6. Pursuant to paragraph 8.5 of subsection 127(1) of the Act, Tang is prohibited permanently from becoming or acting as a registrant, as an investment fund manager or as a promoter.
