Can investors resell the securities they buy from you?

Exempt market securities have restrictions on resale

Securities law imposes restrictions on the resale of securities bought under an exemption. This is in addition to the requirement for approval of transfer of securities of a private issuer. National Instrument 45-102 Resale of Securities sets out the resale restrictions-it describes when, and under what circumstances, you can resell securities sold under an exemption.

Please note that the rules governing resale are complex and the way they apply to you depends on your facts. Consult your lawyer about the conditions that apply to the resale of your securities so you can properly inform investors about their ability to sell the securities they buy from you.
