JEROME STANISLAUS XAVIER, CGC FINANCIAL SERVICES INC. AND
FIRST FINANCIAL SERVICES

ORDER

WHEREAS on November 7, 2003, the Ontario Securities Commission (the “Commission”) issued a Notice of Hearing and Statement of Allegations pursuant to Sections 127(1) and 127.1 of the Securities Act, R.S.O. 1990, c.S.5, as amended (the “Act”), in respect of John Alexander Cornwall, Kathryn A. Cook, David Simpson, Jerome Stanislaus Xavier, CGC Financial Services Inc. and First Financial Services;

AND WHEREAS on November 7, 2003, the Commission ordered pursuant to section 127 of the Act that all trading in securities by John Alexander Cornwall cease for fifteen (15) days unless the Order was extended by the Commission;

AND WHEREAS on November 10, 2003, the Commission extended the Cease Trade Order dated November 7, 2003 until the hearing of this matter has been concluded;

AND WHEREAS the first appearance for the hearing was scheduled to take place on November 26, 2003 at 10:00 a.m.;

AND WHEREAS Staff of the Commission (“Staff”) and the Respondents have consented to several adjournments of this matter;

AND WHEREAS on August 18, 2004, the Commission issued an Amended Amended Statement of Allegations pursuant to section 127 of the Act in respect of the Respondents;

AND WHEREAS the hearing of this matter is scheduled to commence on February 21, 2007 ;

AND WHEREAS Gowling Lafleur Henderson LLP (“Gowlings”) are counsel of record for the Respondents David Simpson and First Financial Services;

AND WHEREAS on January 18, 2007, Gowlings made a motion to the Commission pursuant to Rule 1.4 of the Commission’s Rules of Practice for leave to withdraw as counsel of record for the Respondents David Simpson and First Financial Services;

AND WHEREAS Gowlings submitted that the grounds for leave to be removed from the record were a failure by the Respondents David Simpson and First Financial Services to cooperate with counsel to facilitate hearing preparation;

AND WHEREAS the Commission considers that the Respondents David Simpson and First Financial Services have been properly served with a Notice of Motion and supporting materials;

AND WHEREAS the Respondents do not oppose this Motion;

AND WHEREAS Staff do not oppose this Motion;

AND WHEREAS the Commission considers that there would be no prejudice to the Respondents David Simpson and First Financial Services should leave be granted;

IT IS ORDERED THAT leave for Gowlings to withdraw as counsel of record for the Respondents David Simpson and First Financial Services is hereby granted.
