AND

IN THE MATTER OF
JENNIFER DEWLING

ORDER
(Section 127(1))

WHEREAS on November 11, 1999, the Ontario Securities Commission (the "Commission")issued a notice of hearing pursuant to section 127(1) of the Securities Act (the "Act") in respect ofJennifer Dewling ("Dewling");

AND WHEREAS Dewling entered into a settlement agreement dated November 11, 1999(the "Settlement Agreement") in which she agreed to a proposed settlement of the proceeding,subject to the approval of the Commission;

AND WHEREAS Dewling has agreed that she will not reapply for registration with theCommission in any capacity for a period of 4 months from the date of this Order;

AND WHEREAS Dewling has agreed that for a further period of 3 months following theexpiry of the 4 month period described above, she will not directly supervise any person in connectionwith that person's activities for which registration is required;

AND WHEREAS Dewling has agreed that she will successfully complete the Partners,Directors and Officers examination within 4 months from the date of this Order;

AND UPON reviewing the Settlement Agreement and the statement of allegations of Staffof the Commission, and upon hearing submissions from Staff of the Commission and counsel forDewling;

AND WHEREAS the Commission is of the opinion that it is in the public interest to makethis Order;

IT IS ORDERED THAT:

(1) the Settlement Agreement dated November 11, 1999, attached to this Order, is herebyapproved; and

(2) pursuant to clause 2 of subsection 127(1) of the Act, Dewling is prohibited fromtrading in securities for a period of 4 months from the date of this Order exceptthat Dewling is permitted to sell securities of which she is the beneficial owner asof the date of this Order.
