DEREK REID and DANIEL DAVID DANZIG

NOTICE OF HEARING
(Sections 127 and 127.1)

TAKE NOTICE that the Ontario Securities Commission (the “Commission”) will hold a hearing pursuant to section 127 of the Securities Act (the “Act”) at the Commission’s offices on the 17 th floor, 20 Queen Street West, Toronto, Ontario, commencing on Friday, the 15th of April, 2005 at 10:00 a.m., or as soon thereafter as the hearing can be held, to consider:

i) RE: ROBERT PATRICK ZUK whether, in the opinion of the Commission, it is in the public interest to make an order, pursuant to sections 127(1) and 127.1 of the Act that:

  • trading in any securities by Robert Patrick Zuk cease permanently or for such period as is specified by the Commission;
  • any exemptions contained in Ontario securities law do not apply to Robert Patrick Zuk permanently or for such period as is specified by the Commission;
  • Robert Patrick Zuk be prohibited from becoming or acting as an officer or director of any issuer permanently or for such period as specified by the Commission;
  • Robert Patrick Zuk be ordered to pay the costs of the Commission investigation and the hearing;
  • such other orders as the Commission may deem appropriate.

ii) RE: IVAN DJORDJEVIC, MATTHEW NOAH COLEMAN, DANE ALAN WALTON, DEREK REID and DANIEL DAVID DANZIG (“these Respondents”) whether, in the opinion of the Commission, it is in the public interest to make an order pursuant to sections 127(1) and 127.1 of the Act that:

  • the registration of these respondents under Ontario securities law be suspended or restricted for such period as is specified in the order, or be terminated;
  • trading in any securities by these respondents cease permanently or for such period as is specified by the Commission;
  • any exemptions contained in Ontario securities law do not apply to these respondents permanently or for such period as is specified by the Commission;
  • terms and conditions be placed on the registration of these respondents;
  • these respondents be reprimanded;
  • these respondents be ordered to pay the costs of the Commission investigation and the hearing;
  • such other orders as the Commission may deem appropriate.

BY REASON of the allegations set out in the attached Statement of Allegations made by Staff of the Commission dated March 11, 2005;

AND TAKE FUTHER NOTICE THAT any party to the proceedings may be represented by counsel at the hearing;

AND TAKE FURTHER NOTICE THAT, upon failure of any party to attend at the time and place aforesaid, the hearing may proceed in the absence of that party and such party is not entitled to any further notice of the proceeding.
