ORDER



      WHEREAS the respondents Sextant Capital Management Inc. (“SCMI”), Sextant Capital GP Inc. (“Sextant GP”) and the Sextant Strategic Opportunities Hedge Fund L.P. (the “Sextant Canadian Fund”) were represented by the law firm McMillan LLP in this matter;

      AND WHEREAS the law firm Crawley Meredith Brush LLP filed a Notice of Change of Lawyer for SCMI and Sextant GP on or about March 11, 2009 stating that these parties are now represented by Crawley Meredith Brush LLP;

      AND WHEREAS McMillan LLP has brought a motion in writing requesting leave to withdraw as counsel for the Sextant Canadian Fund pursuant to rule 1.4(7) of the Ontario Securities Commission Rules of Practice;

      AND WHEREAS McMillan LLP has filed an affidavit sworn by Jeffrey Levine on March 12, 2009 in support of its motion;

      AND WHEREAS McMillan LLP indicates in its motion record that a copy of the record has been served on the Sextant Canadian Fund, Crawley Meredith Brush LLP (counsel for SCMI and Sextant GP) and Groia & Company (counsel for Otto Spork, Robert Levack and Natalie Spork), as required by Rule 1.4(8) of the Ontario Securities Commission Rules of Practice;

      AND WHEREAS Commission Staff do not object to the relief sought;

      IT IS ORDERED that McMillan LLP is granted leave to withdraw as counsel of record for the Sextant Canadian Fund.
